What is EDGAR and why is it relevant for my company?
EDGAR is the regulatory filing system operated by the U.S. Securities and Exchange Commission (“SEC”). The acronym stands for Electronic Data Gathering, Analysis and Retrieval. The SEC is the government agency that regulates the U.S. capital markets, including all U.S. based stock exchanges.
All public companies listed on a U.S. stock exchange, including companies based outside the U.S. that are dually listed on a U.S. stock exchange, are required by the SEC to file quarterly, annual and periodic reports; insider trading reports; earnings releases; proxy statements; and other regulatory filings. Anyone can access all EDGAR filings at www.sec.gov.
Notified provides EDGAR filing services on behalf of our customers as a part of our GlobeNewswire distribution service.
What are GlobeNewswire’s EDGAR Services?
GlobeNewswire is a full-service EDGAR filing agent and can prepare and file all EDGAR filings related to corporate entities. Our services include document conversion, filing and XBRL tagging services for your quarterly and annual reports. We also provide a streamlined service for filing earnings releases and other material financial news distributed by GlobeNewswire.
Our services are designed to support corporate issuers; we do not support EDGAR filings for investment funds (e.g., 13-F filings).
What do I need for my first EDGAR filing?
Before we can process your first EDGAR filing, you need to authorize GlobeNewswire as an EDGAR Filing Agent to submit filings our behalf of your company.
To get started, please contact our support team and give us your company’s EDGAR Central Index Key (“CIK”) and the CIK Confirmation Code (“CCC”). When we receive this information, we will configure your account and verify the CIK and CCC codes. After we confirm that the codes are valid, you can immediately start using our EDGAR filing services.
What is the difference between EDGAR Direct and EDGAR Complete?
EDGAR Direct is a streamlined service for filing press releases published via GlobeNewswire. You can add this service as part of submitting a GlobeNewswire press release. After the press release is set up by the Notified Editorial team, our EDGAR team generates a Form 8-K (U.S.) or 6-K (foreign filers) and attaches the wire version of the release as an Exhibit. You can then review, approve and schedule the filing through our platform. Per the SEC’s requirement, our 8-K cover sheets are tagged with inline XBRL (“iXBRL”).
Advantages of this service:
One-stop solution: You can order EDGAR while you upload your press release.
Convenience: You can review and schedule your press releases and EDGAR filings from one platform.
Disclosure requirements: The final wire version published by GlobeNewswire will always be filed with EDGAR; you never need to worry about making edits to separate wire and EDGAR versions.
EDGAR Complete service is for non-press release filings such as quarterly reports, annual reports, proxy statements, Section 16 filings and more. You can request this service by selecting EDGAR Filings from the dropdown menu; it’s separate from the press release process.
Once you upload your documents through our platform, our team will convert, validate, and test your filing. You can then review, request changes and approve through our platform.
Quarterly reports and Annual filings for both domestic and foreign filers require iXBRL tagging. XBRL tagging is an involved process and has specific timelines. Please reach out to our Regulatory team (firstname.lastname@example.org) for information about pricing and timelines.
Do Notified and GlobeNewswire support both EDGAR Direct and EDGAR Complete?
Yes, our platforms and global teams support both options.
When can I submit an EDGAR filing?
EDGAR filings must be submitted between the hours of 3:00 am and 2:30 pm PT/6:00 am and 5:30 pm ET. The SEC will continue to accept filings from 2:30 pm PT/5:30 pm ET until 7 pm PT/10 pm ET, but they will not post on the SEC's site nor be considered officially "filed" until the next day. The only exception is for Section 16 filings (Forms 3, 4, 5), which are accepted and posted up until 7 pm PT/10 pm ET.
GlobeNewswire from Notified also allows companies to file their press releases and financial information with the SEC via EDGAR forms. This encompasses submission of EDGAR documents, transformation of the documents submitted into SEC accepted format (also called ELO-XMLs) and publishing of the documents to the SEC.
What are the acceptable file types for EDGAR?
Here is a list of acceptable file types that we accept for EDGAR submissions - .doc, .docx, .pdf, .xls, .xlsx, .png, .jpg, .rtf, .txt, .ppt, .pptx
